Article 1 – Name

An international cultural association, non-profit in nature, is hereby established under the name:

“CINETOUR – World Film Festivals Committee”

hereinafter referred to as the “Association.”

Article 2 – Registered Office

The Association has its registered office in Rome, Italy, at the address indicated in the Deed of Incorporation.

The Board of Directors may establish operational offices, representative offices, or branches in Italy or abroad, exclusively for the pursuit of the statutory purposes.

The registered office may be transferred within the national territory by resolution of the Board of Directors, without requiring any amendment to these Statutes.

Article 3 – Legal Nature and Principles

The Association is non-political, non-partisan, independent, and non-profit.

It operates in compliance with the principles and values of the European Union, including:

  • cultural and linguistic diversity;

  • transnational cooperation;

  • intercultural dialogue;

  • freedom of artistic expression;

  • sustainability and inclusion.

Any form of profit-making is excluded, as well as the direct or indirect distribution of profits, surpluses, or reserves.

The Association carries out activities of general interest in accordance with Italian law.

The Association may apply for registration in the Italian National Register of the Third Sector (RUNTS) pursuant to Legislative Decree No. 117/2017 (Third Sector Code), should the statutory and legal requirements be met.

Article 4 – Purposes and Objectives

The Association pursues cultural, artistic, and educational objectives at the European and international level, with particular focus on the cinema and audiovisual sectors.

In particular, the Association aims to:

  • promote the transnational circulation of European cinematographic and audiovisual works;

  • support and coordinate film festivals, showcases, and cultural events;

  • develop European and international cultural networks;

  • strengthen the professional capacities of cultural operators and festivals;

  • promote international cultural cooperation and intercultural dialogue;

  • organize training activities, conferences, workshops, exhibitions, and cultural events;

  • design, manage, and coordinate projects co-financed by the European Union, including Creative Europe, Erasmus+, Europe for Citizens, and related programs

 

Article 5 – Activities

To achieve its objectives, the Association may:

  • organize and coordinate film festivals and cultural events;

  • promote cultural and professional exchanges between different countries;

  • enter into agreements and partnerships with public and private bodies, universities, cultural institutions, and international networks;

  • participate in European, national, and international calls for proposals and funding programs;

  • entrust specific services or activities to third parties, in compliance with applicable legislation.

 

Article 6 – Members

Membership of the Association is open to individuals and legal entities, Italian or foreign, who share the purposes of the Association.

Members are classified as:

  • Founding Members;

  • Ordinary Members;

  • Honorary Members.

Founding Members are those who took part in the establishment of the Association and are listed in the relevant founding document.

Ordinary Members are individuals or legal entities admitted according to the procedures set out in these Statutes.

Honorary Members are appointed by the General Assembly for outstanding cultural or professional merit.

All members have equal rights and duties, in accordance with these Statutes.


Article 7 – Rights and Duties of Members

All members have the right to participate in the associative life and activities of the Association.

Members are required to:

  • comply with these Statutes;

  • contribute to the achievement of the Association’s objectives;

  • conduct themselves in a manner consistent with the values and purposes of the Association.


Article 8 – Governing Bodies

The governing bodies of the Association are:

  • the General Assembly of Members;

  • the Board of Directors;

  • the President.

The members of the Board of Directors and the President hold office for three (3) years and may be re-elected.

 

Article 9 – General Assembly

The General Assembly is the sovereign body of the Association.

It approves the strategic guidelines, annual plans, financial statements, and major associative decisions, in accordance with the law and these Statutes.


Article 10 – Board of Directors

The Board of Directors consists of a minimum of two (2) and a maximum of five (5) members.

The Board manages the Association, defines annual programs, and deliberates on activities and projects, including those funded by the European Union.

 

Article 11 – President

The President is the legal representative of the Association in Italy and abroad.

The President oversees institutional relations, particularly with European institutions and international partners.


Article 12 – Financial Resources

The financial resources of the Association consist of:

  • public grants and subsidies;

  • European funding;

  • members’ contributions;

  • donations and voluntary contributions;

  • any other income compatible with the Association’s purposes.

All resources are used exclusively to pursue the statutory objectives.

The General Assembly may establish membership fees.

 

Article 13 – Financial Statements

The Association prepares an annual financial report.

The financial report is approved by the General Assembly.

Where applicable, the financial statements are prepared in accordance with the models provided by the Italian Ministry of Labour and Social Policies and deposited within the legal deadlines.


Article 14 – Dissolution

In the event of dissolution of the Association, any remaining assets shall be allocated, subject to the approval of the competent authority, to other non-profit entities or organizations pursuing similar purposes, in accordance with the law.

 

Article 15 – Final Provisions

For all matters not expressly provided for in these Statutes, reference is made to the provisions of the Italian Civil Code and applicable legislation.
